Terms of Service

1. Acceptance of Terms

By accessing or using AuthCord ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

AuthCord is a Discord-native monetization platform that enables software developers ("Sellers") to authenticate users, manage subscriptions, process payments, and deliver digital products through Discord.

The Service operates as a platform facilitator. Sellers are the merchants of record for their own products. End users ("Buyers") who purchase products through Seller applications are customers of the Seller, not of AuthCord. AuthCord provides the infrastructure but does not control or endorse Seller products.

3. Account Registration

To use the Service, you must:

• Have a valid Discord account
• Provide accurate and complete information
• Be at least 13 years of age (or the minimum age in your jurisdiction)
• Not have been previously banned from the Service

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Distribute malware, viruses, or other malicious code
• Engage in fraud, scams, or deceptive practices
• Harass, abuse, or harm other users
• Circumvent security measures or rate limits
• Resell or redistribute the Service without authorization

5. Prohibited Content

You are strictly prohibited from using the Service to distribute, sell, or facilitate access to:

• Illegal content of any kind, including but not limited to pirated software, stolen data, or contraband
• Content that exploits, harms, or endangers minors in any way
• Malware, ransomware, spyware, or any software designed to damage or gain unauthorized access to systems
• Tools or services intended for illegal hacking, phishing, or identity theft
• Content that infringes on intellectual property rights (copyright, trademarks, patents)
• Illegal gambling or unlicensed financial services
• Controlled substances or illegal drugs
• Weapons, explosives, or instructions for creating them
• Content promoting terrorism, violence, or hate speech

The file distribution feature is intended for legitimate software distribution only. We reserve the right to review, scan, and remove any uploaded content at our discretion.

Violations of this section will result in immediate account termination without refund. We may report illegal activity to appropriate law enforcement authorities.

6. Digital Delivery & Instant Access

Access to paid features, tier upgrades, and digital entitlements is granted immediately upon successful payment. By purchasing any plan or product through AuthCord, you acknowledge and agree that:

• Delivery of digital access occurs instantly upon payment confirmation
• You expressly consent to immediate performance of the service and waive any right of withdrawal that would otherwise apply to digital content
• Once access is granted, the transaction is considered fulfilled

This applies to all paid tiers (Pro, Enterprise) and associated platform transaction fees.

7. Seller Responsibilities

If you use AuthCord to sell products or services to end users ("Buyers"), you agree to the following:

• You are solely responsible for the products and services you sell through the platform
• You must comply with all applicable laws in your jurisdiction, including consumer protection, tax, and export control laws
• You must accurately describe your products and not engage in deceptive or misleading practices
• You are responsible for handling Buyer support, complaints, and disputes related to your products
• You must not sell prohibited content as defined in Section 5
• You are the merchant of record for your sales and bear all liability for chargebacks, refunds, and disputes on your own payment accounts
• AuthCord is not liable for any losses, damages, or claims arising from your products, your Buyers, or your use of the platform to facilitate sales

AuthCord reserves the right to audit, suspend, or terminate Seller accounts that generate excessive chargebacks, complaints, or that are found to be selling prohibited or harmful products.

8. Payment Terms, Fees & Refund Policy

For paid subscriptions and purchases:

• Payments are processed through Stripe
• Subscriptions renew automatically unless cancelled before the renewal date
• Because access is delivered instantly, refunds are generally not available once access has been granted
• Refunds may be considered at our sole discretion within 48 hours of purchase if the service is demonstrably non-functional, and only if the paid features have not been materially used
• We reserve the right to change pricing with 30 days notice to existing subscribers

Payment Method Requirement

Users must maintain at least one valid payment method on file at all times while using AuthCord services. Removal or replacement of a payment method is only permitted if another valid payment method is first added to the account.

By adding a payment method, you authorize AuthCord to charge the provided payment method for any applicable fees, including recurring subscription charges, transaction fees, and any outstanding balances owed to the platform.

Transaction Fees

AuthCord charges a percentage-based transaction fee on all payment volume processed through the platform. The fee rate is determined by your subscription tier and is applied to each end-customer payment. Transaction fees are collected automatically via Stripe metered billing and appear on your regular invoice.

Outstanding Balances

By using AuthCord, you agree that any outstanding fees, transaction balances, or unpaid charges will be automatically billed to your payment method on file. In the event of account closure or deletion, all outstanding balances will be immediately calculated and charged to the payment method on file before the account is permanently removed.

Accounts with pending balances, disputes, or unpaid fees may not be deleted until all obligations are fully settled.

Chargebacks & Disputes

Filing a fraudulent chargeback or payment dispute after receiving access will result in immediate account suspension, revocation of all access and entitlements, and may result in permanent ban from the platform. We actively contest fraudulent disputes and maintain evidence of digital delivery.

If a user's account enters a negative balance due to refunds, disputes, or chargebacks, AuthCord reserves the right to recover the owed amount from any payment method on file.

If your account is terminated due to violations of these Terms of Service, illegal activity, or fraudulent payment behavior, you will not be entitled to any refund of fees paid.

9. Intellectual Property

You retain ownership of your applications and data. We retain ownership of the AuthCord platform, branding, and technology. You grant us a limited license to process and store your data as necessary to provide the Service.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your data as described therein.

11. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience downtime. We are not liable for any losses resulting from service interruptions.

12. Termination & Account Suspension

We may suspend or terminate your account immediately and without prior notice for any of the following reasons:

• Violation of these Terms of Service or any applicable law
• Distribution of prohibited content as defined in Section 5
• Fraudulent payment activity, including filing illegitimate chargebacks or disputes
• Excessive chargebacks or complaints from Buyers (for Seller accounts)
• Any activity that threatens the security, integrity, or reputation of the platform
• At our sole discretion for any other reason

You may cancel your account at any time through the dashboard, provided all outstanding balances and fees have been settled. Accounts with unpaid platform fees or pending charges cannot be deleted until all financial obligations are fulfilled.

Upon account deletion, any outstanding transaction fees will be immediately charged to your payment method on file. Once settled, your right to use the Service ceases immediately. All uploaded files, user data, and configuration will be deleted within a reasonable timeframe. Active entitlements and access grants will be revoked.

If your account is terminated for cause (violation of terms, illegal activity, fraud, or abuse), you will be permanently banned from the Service and will not be entitled to any refund of fees paid, including subscription and transaction fees. We reserve the right to report violations to appropriate law enforcement authorities.

13. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• LOSS OF REVENUE, PROFITS, OR DATA
• DAMAGES ARISING FROM BUYER-SELLER DISPUTES
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS OR SECURITY BREACHES
• DAMAGES ARISING FROM SERVICE INTERRUPTIONS OR DOWNTIME
• DAMAGES ARISING FROM THIRD-PARTY PAYMENT PROCESSOR ACTIONS

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AUTHCORD IN THE 12 MONTHS PRECEDING THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED.

14. Indemnification

You agree to indemnify, defend, and hold harmless AuthCord and its operators from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your products or services sold through the platform; (d) any dispute between you and your Buyers; or (e) your violation of any third-party rights.

15. Changes to Terms

We may modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the new terms. We will notify users of material changes via email or dashboard notification.
